By accessing and using BoardFlow, a product of the Dixon family of companies, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

2. Description of Service

BoardFlow provides a comprehensive board management platform for non-profit organizations, including but not limited to document management, meeting coordination, member communication, voting, and board packet distribution.

3. Account Registration and Use

To use BoardFlow, you agree to:

• Provide accurate, current, and complete account information
• Maintain the security of your account credentials and password
• Promptly update account information to keep it accurate and current
• Accept responsibility for all activities that occur under your account
• Use the service only for lawful purposes and in accordance with these Terms
• Not share access with unauthorized users
• Not attempt to gain unauthorized access to any portion of the service
• Not interfere with or disrupt the integrity or performance of the service

4. User Content and Ownership

You retain all ownership rights to content you upload to BoardFlow. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display that content solely for the purpose of providing the service to you and authorized members of your organization.

You are solely responsible for the content you upload and must ensure you have all necessary rights and permissions.

5. Acceptable Use Policy

You agree not to use BoardFlow to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violate any local, state, national, or international law
• Infringe upon intellectual property rights of others
• Transmit any viruses, malware, or other malicious code
• Engage in any activity that could damage, disable, or impair the service

6. Payment and Billing

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are charged in advance on a recurring basis. We reserve the right to change our pricing with 30 days notice. You are responsible for providing accurate billing information and promptly updating it if it changes.

7. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free access. We may perform scheduled or emergency maintenance that temporarily affects service availability. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.

8. Data Backup and Security

While we implement industry-standard security measures and regularly backup data, you are responsible for maintaining your own backups of important content. We are not liable for any data loss.

9. Termination

Either party may terminate this agreement at any time. You may cancel your account through your account settings. We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, you may request an export of your data within 30 days, after which we may delete your data in accordance with our retention policies.

10. Intellectual Property

BoardFlow and its original content, features, and functionality are owned by the Dixon family of companies and are protected by international copyright, trademark, and other intellectual property laws.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL BOARDFLOW OR THE DIXON FAMILY OF COMPANIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless BoardFlow and the Dixon family of companies from any claims, damages, losses, liabilities, and expenses arising from your use of the service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes shall be resolved in the appropriate courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the modified Terms.
